Terms of Service

Effective date: 11 October 2026

These Terms of Service (“Terms”) govern your use of Sellie (“Sellie”, “we”, “us”), a WhatsApp agent for TikTok Shop sellers provided by Neu Software LLC, a Delaware limited liability company. By creating an account or using the service you agree to these Terms. If you do not agree, please don’t use Sellie.

The service

Sellie helps TikTok Shop sellers understand and grow their shop. You chat with Sellie over WhatsApp, Telegram or the web dashboard; it reports on how your shop and your products are performing, tracks what shoppers are searching for on TikTok and where demand outruns supply, and generates captions, branded images and short videos you can post. Sellie does not publish to TikTok for you — you decide what to post and when. Reports and recommendations are informational, not professional or financial advice.

Your account

You must give accurate information when you sign up and keep it up to date. You are responsible for the activity on your account and for keeping your login details secure. You must be at least 18 years old and authorised to act for the business you register. Tell us promptly at [email protected] if you believe your account has been compromised.

Acceptable use

You agree not to use Sellie to create or publish content that is unlawful, misleading, deceptive, infringing, defamatory, hateful or otherwise objectionable, or that breaches the rules of any connected platform. You warrant that you own or have the necessary rights to any photos, logos, product information and other materials you upload, and that our using them to generate and publish your posts will not infringe anyone’s rights.

Your content

You keep ownership of the content you provide and of the posts created for your business. To operate the service, you grant Sellie a non-exclusive, worldwide licence to store, process and adapt that content for the purpose of providing the service to you — including generating captions, artwork and videos for you. This licence ends when the content is deleted from the service, subject to reasonable backup retention.

Proactive messages and drafts

Sellie messages you on its own — with performance updates, things it has spotted in TikTok search, and content it has drafted for you. By using the service you authorise it to send you these messages without asking first each time. You can turn proactive messaging off per channel, and you decide whether to post anything it sends you.

Connected sales data

You may optionally give us a Windsor.ai API key so Sellie can read your own TikTok Shop sales figures. You confirm you are entitled to share that key and the data it unlocks. We store the key encrypted, use it only to provide the service to you, and delete it on request. You may withdraw this at any time, after which Sellie works from public data only.

Third-party platforms

Sellie works alongside third-party platforms, including WhatsApp, Telegram, TikTok and (if you connect it) Windsor.ai. Your use of those platforms is also subject to their own terms and policies, and their availability and behaviour are outside our control. You are responsible for the TikTok handle and shop you ask us to watch, and for making sure your own use of TikTok complies with TikTok’s terms.

Fees

Some features are offered on paid plans. Pricing and billing terms are those presented to you when you subscribe. Unless stated otherwise, fees are exclusive of VAT. You can cancel at any time; your TikTok Shop and anything you have posted remain yours.

Service availability

We work to keep Sellie reliable, but the service is provided “as is” and “as available”. We don’t guarantee that it will be uninterrupted or error-free, or that generated content and reported figures will always be accurate or suitable — you should review anything before you post it.

Limitation of liability

To the fullest extent permitted by law, Sellie will not be liable for indirect, incidental or consequential losses, or for loss of profits, revenue, data or goodwill arising from your use of the service. Nothing in these Terms limits liability that cannot be limited under applicable law. Subject to that, our total liability to you is limited to the amount you paid us for the service in the twelve months before the event giving rise to the claim.

Termination

You may stop using Sellie and close your account at any time. We may suspend or end your access if you breach these Terms or use the service in a way that risks harm to others, to a connected platform or to us. On termination we will delete your data as described in our Privacy Policy.

Changes to these Terms

We may update these Terms from time to time. When we make material changes we’ll update the effective date above and, where appropriate, notify you through the service. Continuing to use Sellie after changes take effect means you accept the updated Terms.

Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, subject to any mandatory rights you have as a consumer.
